We offer company and commercial advice to a range of clients including family and other owner-managed businesses. We advise on transactions such as company sales and purchases (whether of shares or assets) and joint ventures and also provide the full range of general company and commercial legal advice on matters from Articles of Association and shareholder agreements to directors’ duties to terms and conditions of business.
Sometimes with family businesses, tensions can arise as time goes by and different family members have different levels of involvement in the business or differing ideas or financial objectives. We often advise on navigating these issues and the possible solutions available, with a view to reducing conflict and preserving the family’s wealth. Succession planning is another area where we often advise. Many solutions are possible, including a shareholder stepping-back and putting service agreements in place to ensure the performance of new management or incentivising new management with performance-related share issues or even a plan to sell the business at some future point.
